Constitution

Article 1: Name

The name of this club shall be the New Jersey Club of Printing House Craftsmen, Inc. (Hereafter referred to as NJCPHC).

Article II: Objectives

The fundamental objectives of this Chapter shall be to provide an opportunity for those engaged In the graphic arts to meet at regular
intervals and share their knowledge, promote friendship and good fellowship among its members, and to provide a forum for the
exchange of ideas and experience relative to the general advancement of the graphic arts industry as a whole.

Section 1. The conducting of business of the NJCPHC must comply with all federal, state/provincial, and municipal governments
and shall function within the framework of the Internal Revenue Service Code 501 (c) (3) when applicable.

Section 2. The members of the chapter shall have the power to alter, amend, or repeal the By-Laws and any section thereof in the manner provided by the By-Laws.
Section 3. The private property of the members shall not be subject to the payment of corporation debts to any extent whatsoever.

Article III: Membership

Membership shall be open to any person employed in the graphic arts field, regardless of sex, creed, or national origin. There shall be the following forms of membership: Active, Honorary, Life, and Associate.

Active: Active members shall include any individual actively engaged in any productive or creative capacity in any of the recognized branches of the Graphic Arts industry.

Honorary: Honorary Membership may be conferred upon any member after application has been submitted to and approved by the Board of Directors. The applicant must be retired and a member in good standing.

Life: Life membership may be conferred upon any member. After the member's official retirement from the industry, application to and approval from the Board of Directors, and membership in the chapter for 25 years, and/or had served as a committee chair or officer of the club during his/her membership in the club, the member can be conferred as a life member. Nominations for Life Membership shall be done before dues notices are mailed out.

Associate: Associate membership shall be limited to persons employed in capacities other than those requirements in Active, Honorary, or Life membership. No Associate member can have voting rights or sit on the Board of Directors.

Article IV: Officers

Section 1. The officers of this chapter shall be President, First Vice-President, Second Vice President, Treasurer, Secretary and
Sergeant-at-Arms.

Section 2. There shall be a Board of Governors to consist of all Officers, all active Past Presidents, and such other members as may
be appointed by the President to serve for one year concurrent with his/her term of office.

Section 3. The terms of all officers and members of the Board of Governors shall be for one year, beginning and ending at the June Annual Meeting, or until their successors have been elected and installed.

Section 4. If during the normal term, any office of the chapter is vacated by resignation or otherwise, such office shall be filled by appointment by the President at the next scheduled Board meeting, subject to the approval of the Board of Governors.

Article V: Meetings

Section 1. The annual meeting of the chapter shall be held in June.

Section 2. There shall be a general meeting of the chapter once each month with the exception of July and August.

Section 3. Special meetings may be called by the President at his/her discretion, provided proper notice setting forth the purpose of said meeting shall have been mailed to each member at least ten (1 0) days prior to the date of such special meeting.

Section 4. Special meetings of the Board or the membership shall be called by the President upon request of a majority of the Board of Governors, or at the request of ten percent (10%) of the paid-up members. Notice of such meeting shall be mailed as provided in Section 8 of this
Article.

Article VI: Revenue

Section 1. The revenue of this chapter shall be obtained by admission fees and dues assessed against each member. The amount of such fees and dues shall be fixed by the Board of Governors.

Section 2. The fiscal year of this chapter shall be from July 1st to June 30th.

Article VII: Amendments

The Constitution may be amended by a majority of the members present (without proxies) at a regular or special meeting, provided notice of such
proposed amendment has been authorized by two-thirds of the Board of Governors.

Our Emblem

The emblem of the International Association of Printing House Craftsmen, Inc. was first adopted by the New York Club because, as the combined Coats of arms of Johann Fust and Peter Schoeffer, ft was probably the first imprint ever appearing in a book printed from movable types, being used as early as 1457. In 1450 in need of cash, Gutenberg went to Johann Fust, a citizen of Mainz, Germany, and mortgaged his printing plant. Five years later the mortgage was foreclosed, giving Fust all types, books, presses, etc. Among Gutenberg's workmen In 1455 was a young man named Peter Schoeffer, who had previously copied books while a student in the University of Paris. When Fust took over Gutenberg's plant, Schoeffer assumed charge, married Fust's daughter, and became a partner in the business. Hence, the combining of their individual coats of arms. The right shield is from Schoeffer: the left is from Fust. The "X" and "V" are most likely Greek letters: as to their significance, nothing definite is known. The stars may denote seniority. The two shields hanging on a branch denote alliance, possibly of the Schoeffer with the Fust families. Every Member in good standing of an affiliated Craftsmen Chapter shall, during the continuance of his membership in such chapter, and by virtue of the affiliation of his chapter with the International Association of Printing House Craftsmen, Inc. be entitled to use and wear the emblem badge or other insignia of the International Association of Printing House Craftsmen, and to accept such courtesies and privileges as are extended to visiting Craftsmen by affiliated chapters.

By-Laws

Article 1: Duties of Officers

President

Section 1. The President is the chief executive officer of the chapter, and shall preside at all meetings of the chapter. The President shall enforce all laws and regulations of the chapter. The President shall, with the Treasurer, sign all written contracts and obligations of the chapter. In the absence of the Treasurer, the President shall sign bank checks with the First Vice President. The President shall appoint additional members of the Board of Governors, all standing and special committees and otherwise exercise the usual functions of the office.

First Vice President

Section 2. The First Vice President shall perform the duties of the President in the absence of that off icer. The First Vice-President shall also discharge the duties of the chair when called upon to do so by the President. The First Vice-President shall act as Chair of the Board of Governors. The First Vice-President shall also perform such other duties as directed by the Board of Governors.

Second Vice-President

Section 3. The Second Vice-President shall perform the duties of the First Vice-President In case of absence of that officer. The Second Vice-President shall also perform such other duties as directed by the Board of Governors.

Treasurer

Section 4. The Treasurer shall with the President sign all written contracts and obligations of the chapter. The Treasurer shall check and audit all bills and submit same to the Board of Governors for its approval. Upon approval of the Board of Governors, the Treasurer shall write all checks and sign same, together with either the President or First Vice-President. The Treasurer shall keep an accurate set of books of account showing all receipts and disbursements. The Treasurer shall render to the Board each month, a true and correct statement of the finances of the Club and shall
keep the books open at all times for inspection by the President and Board of Governors. The Treasurer shall be the custodian of all financial records and legal papers of the chapter. The Treasurer shall submit to the chair of the Budget Committee a report of all financial transactions of the chapter annually, which will be reviewed
by an outside accounting firm.

Secretary

Section 5. The Secretary shall keep the minutes of all regular, special and Board of Governors meetings in books. The Secretary shall have such minutes duplicated and distributed and shall read same at the request of the Board. The Secretary shall also perform such other duties as directed by the Board of Governors.

Financial Secretary:

Section 6. The Financial Secretary shall be responsible for the recording of the annual dues of each member and reconciling our membership count and roster with Headquarters. The Financial Secretary will report to the Board monthly of dues received and after dues delinquent date all those members who are in arrears.

Sergeant-at-Arms

Section 7. It shall be the duty of the Sergeant-at-Arms to maintain order at meetings of the chapter or Board of Governors. The Sergeant-at-Arms shall take charge of all voting when done by ballot, and shall assist the tellers in any way they require, and shall perform such other duties as directed by the Board of Governors.

Article II: Board of Governors

Section 1. The Board of Governors shall consist of all officers, and all active past presidents and the chairs of all standing and special committees. It shall make all rules and regulations pertaining to the business of the chapter consistent with the Constitution and By-Laws. It must pass upon eligibility of all candidates for membership. Five (5) members of the Board shall constitute a quorum which must include at least (2) elected officers.

Section 2. Any member of the Board who is absent from three (3) consecutive meetings without an excuse satisfactory to the other members of the Board, shall be considered as having resigned from said Board, and the President shall appoint another member to fill such vacancy.

Article III: Membership

Section 1. Application for membership must be proposed in writing by a member of the chapter and shall be accompanied by the (application) fee plus dues. The name and address of the candidate, together with his/her sponsor, shall be entered in a record kept by the Financial Secretary which must be accessible at all times. Each application, together with all available information concerning the applicant, including the name of the firm with which he/she is connected, must be presented to the Board of Governors for consideration at one of its regular meetings.

Section 2. Any person having resigned or forfeited his/her membership, and wishing to again become a member of the chapter, must be regularly proposed and balloted for as a new candidate, except a member of another chapter or a member who resigned in good standing, shall with approval of the Board be accepted without (application) fee.

Section 3. Membership in this chapter may be terminated (a) by voluntary resignation, provided that such resignation be tendered in writing, addressed to the Treasurer; (b) for failure to pay dues, or other indebtedness to the chapter for a period of three (3) months, provided that such member has been notified by Invoice; or (c) when any member shall be charged by any other member, in writing, addressed to the Board of Governors, with conduct injurious to the good order, peace, or interest of the chapter, or at variance with its By-Laws or rules, in which case the Board of Governors shall serve a copy of the charges upon the accused member, and notify that member of the time and place of the inquiry into the charges, and if, upon such inquiry, the Board of Governors shall be satisfied of the truth of the charges, and that the same demand such action, it may after giving the member an opportunity to be heard, request
the accused member to resign, or it may suspend or expel him/her by majority vote.

Section 4. Termination of membership, from any cause whatsoever, shall operate as a release of all right of title to, or interest in, the
property and assets of the chapter.

Article IV: Revenues

Section 1. The dues of members shall be set by the Board of Governors annually payable on or before December 31st.

Section 2. Each member shall notify the Treasurer of any change in address, and failure to furnish such information will operate as a waiver by a member of any notice provided for in these By-Laws.

Article V: Reports

The Board of Governors' minutes shall be published on the chapter's Website. The Treasurer's report shall be a detailed statement of the finances of the chapter, including the receipts and disbursements during the past fiscal year and shall be presented to the Board of Governors each month and must be available to all members on request.

Article VI: Election of Officers

Section 1. Only active members in good standing shall be eligible to hold elective office, and be allowed to vote on election of officers and other matters as provided in the Constitution & By-Laws. Section 2. The officers shall be elected at the regular meeting in May and installed in June. They will assume the duties of their
office at the June Annual meeting.

Section 3. Prior to the first Thursday in March, the President shall appoint a nominating committee composed of five (5) members, one of whom shall be the President. It shall be the duty of this committee to nominate candidates for the various elective offices for the coming year, and contact such nominees to assure themselves of the willingness of the candidate to serve in the proposed capacity. The Committee's report shall be in the form of a ballot to be announced at the March General Meeting. The Ballot will be published. By each name, there shall be a blank space where any voting member may write in a substitute name. Any Ballots with substitute names will be collected prior to the election and tallied at the May General Meeting by the Sergeant-at-Arms. Section 4. No elected officer shall succeed himself/herself in office within a period of two (2) years, except the offices of Secretary, Treasurer, and
Sergeant-At-Arms.

Article VII: International and Club Obligations

Section 1. Provisions for part of the expenses of the voting delegate and/or the alternate voting delegate to the International Convention shall be made by the Board of Governors and shall be reviewed each year by the Board. The eligibility for the representation of this club shall be the following Sequence: President, First Vice-President, Second Vice-President, Treasurer, Secretary and Sergeant-at-Arms. The Board of Governors shall decide each year if they shall make financial provisions for the alternate delegate to attend the International Convention.

Section 2. Should none of the officers listed in Section 1 hereof be able to act as voting delegate, then the Board of Governors may appoint from the active members in good standing of the chapter a delegate who Shall receive part of his/her expenses as listed in Section 1. The members in good standing desiring to act as such delegates shall so state in writing to the President, prior to March 1 st. The Board of Governors shall take into consideration such letters of intent when the Board is appointing the voting delegate. No limit to the number of delegates from this chapter is intended by this Article: it is intended only to define those who shall receive part of their expenses.

Section 3. Provisions for part of the expenses of the voting delegate to the Spring N.E. Regional conference shall be made by the Board of Governors.
This amount shall be reviewed each year by the Board and eligibility for the representation shall be in the same sequence as in Section 2.

Article VIll: Committees

Section 1. Immediately after taking office, the President shall appoint the following standing committees: Budget; Education; Membership; Printing Week; Bulletin; Dinner/Telephone; Constitution & By-Laws (when needed); Program; Awards,, Gallery of Superb Printing and Photography.

Section 2. The President shall, from time to time, appoint special committees to handle special matters. These committees shall remain in force until their work is completed and the President has dismissed them. Section 3. The President shall be an ex-officio member of all standing and special committees.

Article IX: Order of Business
Section 1. All parliamentary questions shall be construed according to the current edition of Robert's Rules of Order. Section 2. Unless otherwise ordered, the order of business at all board meetings shall be as follows:

  1. Reading of minutes of previous meeting, or on motion, accepting published minutes.
  2. Reports of Officers
  3. Reports of standing Committees
  4. Reports of Special Committees
  5. Unfinished Business
  6. New Business

Article X: Dissolution

Section 1. This chapter may be dissolved by an affirmative vote of two-thirds of the members present at any regular or special meeting, providing notice originating from the Board of Governors of such contemplated action has been mailed to every member at least ten (10) days prior to the date of the meeting at which such question is to be voted upon.
Distribution of Assets

Section 2. After corporate liabilities are paid, or provision for their payment is made, the corporation shall distribute restricted assets to one or more domestic or foreign corporations or other organizations engaged in similar activities, and which shall qualify under Section 501 (c) (3) of the current Internal Revenue code. See the Incorporation Papers of September 1997 for further directions.

Article XI: Amendments

These By-Laws may be amended by a majority vote of the members present (without proxies) at a regular or special meeting, providing notice of
such proposed amendment as been authorized by two-thirds of the Board of Governors present and mailed to each of the members at least ten (1 0)
days prior to the date of the meeting.
